DANGCEM Notifies of the Resolutions Passed at the Tenth AGM of the Company

Dangote Cement Plc announces that at its tenth Annual General Meeting held on June 17 2019, at Eko Hotel and Suites, Lagos State, all resolutions set out in the Notice of Annual General Meeting were put to the shareholders and duly passed by the requisite majority. The resolutions are to:

  1. Accept the 2018 Annual Report and Accounts;
  2. Declare a dividend of N16.00 per share in respect of the year ended December 31st, 2018;
  3. Re-elect the retiring directors by a single resolution;
  4. Re-elect Messrs. Aliko Dangote, Abdu Dantata, Olakunle Alake and Ernest Ebi as directors of the company;
  5. Approve the sum of Five Million Naira (N5,000,000.00) per annum for the Chairman, and Four Million Naira (N4, 000,000.00) per annum for each Non- Executive Director as remuneration;
  6. Authorise the Directors to fix remuneration of the Auditors; and
  7. Elect Messrs. Robert Ade-Odiachi, Sheriff Yussuf Mojirola and Nicholas Nyamali as members of the Audit Committee for the 2019 financial year.
